The rules and guidelines governing the use of our services.

Introduction

Welcome to Tekbyt. These Terms & Conditions ("Terms") govern your use of our website and the services we provide, including web design, web development, product design, full-stack development, MVP development, branding, and design system services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Tekbyt provides professional digital services including, but not limited to:

  • Web Design
  • Web Development
  • Product Design
  • Full-Stack Development
  • MVP Development
  • Branding & Design Systems

All services are provided according to the scope, proposal, statement of work, or contract agreed upon between the Company and the Client.

2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project requirements.
  • Supply necessary content, assets, credentials, and approvals in a timely manner.
  • Review deliverables and provide feedback within agreed timelines.
  • Ensure they have the legal rights to all materials supplied to the Company.

Delays in providing required information may affect project schedules and delivery dates.

3. Project Scope & Revisions

Project deliverables, timelines, and revision limits are defined in the applicable proposal or agreement. Requests that fall outside the agreed scope may require additional fees and timeline adjustments.

4. Fees & Payment

Clients agree to pay all fees outlined in the applicable proposal, invoice, or service agreement.

Unless otherwise stated:

  • Deposits are required before work begins.
  • Invoices are due within the payment period specified on the invoice.
  • Late payments may result in project suspension.
  • Outstanding balances may be subject to collection efforts where permitted by law.

5. Intellectual Property

Upon full payment of all outstanding fees:

  • The Client receives ownership of final approved deliverables specifically created for the project.
  • The Company retains ownership of pre-existing materials, frameworks, tools, methodologies, templates, and proprietary assets used during development.

The Company may display completed work in portfolios, case studies, marketing materials, and promotional content unless otherwise agreed in writing.

6. Confidentiality

Both parties agree to protect confidential information disclosed during the course of a project and will not disclose such information to third parties except as required by law.

7. Third-Party Services

Projects may involve third-party platforms, hosting providers, software tools, plugins, APIs, or integrations. The Company is not responsible for outages, policy changes, pricing adjustments, security incidents, or service interruptions caused by third-party providers.

8. Delivery & Acceptance

Deliverables are considered accepted when:

  • The Client provides written approval; or
  • The Client uses, publishes, deploys, or otherwise implements the deliverables.

Minor revisions requested after acceptance may be billed separately.

9. Disclaimer of Warranties

Services and deliverables are provided on an "as is" and "as available" basis.

The Company makes no guarantees regarding:

  • Specific business outcomes
  • Revenue growth
  • Search engine rankings
  • User acquisition metrics
  • Platform availability

To the fullest extent permitted by law, all implied warranties are disclaimed.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's total liability arising from any claim related to its services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or loss of data.

11. Indemnification

The Client agrees to defend, indemnify, and hold harmless the Company, its employees, contractors, and affiliates from claims, liabilities, damages, and expenses arising from:

  • Materials provided by the Client
  • Client misuse of deliverables
  • Violation of applicable laws
  • Breach of these Terms

12. Termination

Either party may terminate a project or service agreement in accordance with the terms outlined in the applicable contract.

Upon termination:

  • The Client remains responsible for payment of completed work and incurred expenses.
  • Access to unfinished deliverables may be withheld until outstanding balances are settled.
